[ic] Conversion problem...

I have been trying for many days now to convert my catalogs from IC
4.9.7 to IC 5.20 and have run into a wall.  Here are the specifics:

IC 5.2.0
Perl 5.8.5
MySql  3.23.58
RH 2.4.21-15.0.4.ELsmp

The error I am continuing getting that I can't resolve is as follows:

I have read in the archives but have not found a solution to this
problem.  The odd part is that I have converted two catalogs, one works
and the other doesn't.  The one that works is a little simpler catalog,
but they are both dressed up versions of the foundation model.

I have removed and rebuilt until I am very warn out.  

If anybody has an answer for this problem I would greatly appreciate it.
